  • Venture financing: the Exit Strategies of Investors in the U.S. Market

    Abstract:
    Analysis of statistical data showed that mergers and acquisitions remain the most common exit strategy for venture capital investors in the United States in 2020-2025. Due to the 2023 venture capital crisis and the US market's 2025 volatility, investors were cautious about IPOs. Reports from consulting companies show that a similar practice has developed in the European market, but it is different in the Asian market: the ratio of mergers and acquisitions and IPOs in Asian countries is almost equal. The author concludes that the founders and management of companies should consider IPOs as a key goal of venture business development, and at the same time be prepared that the venture investor will not wait for the IPO, but will want to exit the business earlier, using a merger and acquisition deal.

    Abstract:
    Formation of human resources potential is an important task at the current stage of economic development of Russia. Digitalization of the economy gives rise to problems, including the risk of reduced employment stability (due to the fact that artificial intelligence replaces human resources and reduces the number of jobs) and the need to retrain specialists both within the region and their migration to areas with a shortage of labor resources. The difference between supply and demand in the labor market is explained by many factors. This may be a national problem – an excess of graduates in humanities and social sciences, which leads to a situation where candidates are forced to look for work unrelated to their education. Or these may be regional reasons. This problem can be reduced by the sphere of additional education, which allows retraining and developing the necessary competencies for applicants. Identification of the complex effect of the influence of various factors on the successful employment of citizens; is a time-consuming, complexly structured scientific task, for which it is proposed to use cognitive modeling. Based on the constructed model, scenarios for the development of labor resources are determined, taking into account regional peculiarities; assessment of the needs of the region in training and retraining of personnel. Their analysis and selection of the most promising scenarios from the standpoint of minimizing the costs of retraining citizens, as well as the constructed functional models of the procedure for selecting candidates among unemployed citizens for additional training (a model reflecting the current state of the research object and models reflecting possible scenarios for the development of the research object) can become the basis for developing a methodology for selecting candidates for additional training for a program that meets the needs of the citizen and the existing offers in the region.

    The article is devoted to the analysis of the attitude of citizens towards the use of an exceptional measure of punishment in the territory of the state – the death penalty. The analysis is carried out in relation to citizens of the Russian Federation and the People's Republic of China, formerly 2 communist countries. The practice of applying the death penalty in Russia, studying the reasons for its abolition and subsequent return to force in the Russian Federation, as well as the practice of its public application in the PRC at the present time. The arguments and reasons for the possible lifting of the moratorium on the use of the death penalty in the Russian Federation and the study of the opinion of citizens on the return of the death penalty to particularly cruel and inhuman criminals are highlighted. Purpose: to conduct a retrospective study of state coercion on the territory of Russia in the form of the application of capital punishment – the death penalty, its methods and types of reasons for its application and abolition, the consequences of these decisions. Methods: systematic approach, historical and logical methods, analysis and synthesis, deduction, induction. Results. The analysis of the use of the death penalty in various historical periods of Russia and the study of similar topics, using the example of the PRC, allows us to consider the question of the return of the death penalty as an effective punishment in the Russian state. Conclusions. The theoretical validity of the return to the actual effect of a measure of state coercion in the form of the death penalty. Statements and discussion in the State Duma of the Russian Federation by top officials of the state on lifting the moratorium, a positive attitude and desire to return the death penalty, its application to particularly inhumane criminals against the background of historical and modern events. That is why there is a need for a detailed and qualitative study and discussion of the issue of lifting the moratorium and returning the death penalty as an institution of capital punishment.

В рамках статьи подчеркивается, что несмотря на широкое распространение ковенантных условий в кредитных договорах представляет интерес и практическую значимость возможность применения ковенантов инвесторами-совладельцами. Автором выделяются четыре основных ковенанта для дополнения договоров купли-продажи со стороны инвестора для снижения уровня неопределенности участников уставного капитала.

    The article provides an overview of the main indicators of financial stability of XXX LLC for 2019 to 2022, the order of their calculation. The analysis of the dynamics of traditional indicators of the efficiency of the use of the capital of the enterprise is carried out using a specialized econometric package of the MS EX-CEL program. The empirical basis of the study is the company's reporting data. Based on the results of the evaluation of the company's activities, conclusions were drawn and measures were proposed to improve the use of the company's fixed assets.

    В главе представлена жилищная проблема с точки зрения концепции дома, недостаточно изученного в социологических исследованиях. Исследование пространства дома неотделимо от жилищного дискурса, возможности обсудить повседневную жизнь, различные варианты выбора реализации домашнего пространства через социокультурные аспекты, такие как память, конфиденциальность, эмоции, ностальгия, ритуалы и дизайн. В главе основное внимание уделяется теоретическому осмыслению пространства и места домашнего быта. Исходя из предположения, что способы использования нашего дома, а также жилищная практика зависят от социальных и культурных характеристик, в данной главе предлагается определить культуру жилища как исследовательское понятие, в котором основное внимание уделяется дому как социокультурной практике жилища. Культура жилища как социологическая концепция подразумевает жилище как повседневную практику, в которой дом формируется и реализуется на пересечении идентичности, отношений и смыслов через материальную форму, символический и культурный капитал.

    In the chapter, based on the works of Z. Freud and J. Lacan, reveals the impact of psychoanalytic theory on the formation of the concepts of «symbolic capital» and «habitus» by Pierre Bourdieu. Sociology does not pretend to replace psychoanalysis with its mode of explanation; it is only a question of constructing certain data differently, which psychoanalysis also takes as its object. Sociology and psychoanalysis act as different, complementary approaches to the same thing, the latter as internal to the former. Psychoanalysis offers a richer set of concepts for analyzing the idiosyncratic meaning that different people attach to general social conditions. Sociology and psychology must join forces, but this will require them to overcome their mutual suspicion, to analyze the genesis of investment in the field of social relations, constituted as an object of investment and concern, as a principle of investment in the social game. Bourdieu's ideas, including the concepts of habitus and symbolic capital, in the course of their further interpenetration with psychoanalytic theories, will open new horizons for understanding social reality.

    The article is devoted to the process of formation of new classes of the Kazakh national bourgeoisie and the local proletariat, the penetration of new capitalist relations and foreign capital at the beginning of the XX century. Kazakhstan's entry into Russia was marked by the development of commodity relations, the development of industry and, as a result, the formation of the working class. The export of capital to the outskirts of the Russian Empire is increasing and Kazakhstan is being drawn into the world market. These and many other processes lead to social changes in Kazakh society, including the Kazakh baity adapting to the new economy of that time and Kazakh merchants-entrepreneurs and the petty bourgeoisie appear.     When studying the theoretical foundations of the transformation of the management system of an educational organization, the management system is understood as scientifically based actions on the part of the administration and the teaching staff of the organization, which are aimed at the rational use of available forces, time and material resources, in order to implement an effective pedagogical process within a specific educational organization. As practice shows, most educational organizations are characterized by a linear-functional organizational structure, as a result of which the management system is not mobile, it does not allow taking into account the peculiarities of the human capital of the teaching staff, weakly forms the interest of each member of the team in the final result. The article considers one of the most effective management tools in conditions when an educational organization faces the task of increasing its efficiency and effectiveness with limited resources – project management. Its implementation in the conditions of digitalization will allow educational organizations to carry out more effective strategic interaction, due to the formation of a network contact. The aim of the study is to improve the management system in a secondary school. To solve the tasks set in the work, the following research methods are used: theoretical methods – analysis and generalization of pedagogical, managerial, methodological and scientific-theoretical literature; normative documents regulating the management of an educational organization; teaching aids on the following aspects: management system, digital transformation of education, management of an educational organization, project management. In the course of our work, we came to the conclusion that the process of managing an educational organization in modern times is prone to a trend that manifests itself in a widespread, global transformation of the management system of an educational organization. One of the features of the management of the educational system is the departure from traditional forms of organizational structure, the restructuring of structures in accordance with the requirements of high efficiency in solving issues, the creation of conditions for participation in decision-making by all members of the workforce. Thus, project management is one of the most effective management tools in conditions when an educational organization faces the task of increasing its efficiency and effectiveness with limited resources.

It was revealed that during the coronavirus pandemic, the share of borrowed sources in the capital structure of Russian companies increased, mainly due to accounts payable. The changes were short-term - in 2021 there was an increase in the financial independence of companies, while at the same time restoring the level of return on assets.

    The relevance of the material lies in its demand due to changes in the domestic economy under the pressure of various force majeure circumstances (COVID-19, various anti-Russian sanctions from unfriendly countries) and the search for ways out of the current difficult situation. In this way, the author sees the improvement of the project personnel management system to preserve the "human capital" and all its components as one of the target indicators. There is a search for new tools and models for "stitching bottlenecks" in the personnel direction. New vectors of development in the most promising areas are predicted. The methods of empirical research are defined: system analysis, comparative analysis, economic and mathematical methods, observation method and others. One of the main research methods is also the normative method, which allows calculating the main indicators of the use of labor resources in project activities on the basis of appropriate methods.

    An attempt to analyze human capital as an economic category is made. Human capital is one of the most discussed areas in economic theory and is most directly connected with other scientific areas, primarily with pedagogical and medical science, as well as with physical culture and sports. Research methods: analysis of scientific and methodological literature. The paper defines the concept of "human capital". The structural components of human capital, its place and role in the modern economy are formulated and analyzed. An analytical review of the regulatory documents of the Russian Federation concerning human capital is made.     The scientific article is devoted to the research analysis of the theoretical aspects of the characteristics and the practical role of the mechanism of organizational culture in the framework of the formation of the human resource management system of the enterprise. The relevance of the study is due to the fact that today the attention of managers of Russian organizations to the issues of the formation of the mechanism of organizational culture is insufficient to form a method of stimulating labor productivity and the effectiveness of using human capital from this tool. The article examines the theoretical aspects of the concept of «organizational culture». The tasks and the practical role of the application of the mechanism of organizational culture in the management of the stuff of the enterprise are analyzed. The analysis of urgent problems of the human resource management system and the formation of organizational culture, which negatively affect the efficiency of labor activities of stuff. The main directions of improving the management system of the organizational culture of the enterprise in the framework of its stuff policy and activities are considered. In the conclusion of the scientific work the author found that organizational culture is the most important element not only of the stuff management system of an enterprise, which allows to form the principles of HR management and increase interaction between employees, but also a way to increase the economic efficiency of the company's business activities.
